Terms & Conditions

These Terms are an agreement between you and DeFi Orbit Inc., a Delaware corporation ("DeFi Orbit," "we," "us"). They apply when you visit defiorbit.xyz or use any of our services. By creating an account, buying credits or using the services, you accept these Terms and our Privacy Policy.

1.1Using DeFi Orbit for an organisation

If you accept these Terms on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.

1.2Order forms

Portfolio Enterprise, committed API plans and Custom Data projects may also be covered by a signed order form or agreement. If it conflicts with these Terms, the signed document applies.

DeFi Orbit provides on-chain data infrastructure for liquidity and lending positions. The services include:

• Portfolio: an app for tracking positions, balances, profit and loss, and alerts across supported networks
• Portfolio Enterprise: customer sub-accounts, share links, white-label views, exports and an audit trail for teams
• API Platform: REST endpoints that return the same data, billed in credits
• DeFi Orbit AI: a hosted MCP server that gives AI assistants read-only tools over the same data
• Custom Data: scoped projects, such as new protocol integrations or reports

2.1Read-only

DeFi Orbit reads public blockchain data. We never ask for private keys or seed phrases, never hold custody of your assets and cannot execute transactions on your behalf. To verify a wallet you may sign a text message; a message signature is not a transaction and cannot move funds.

2.2Changes to the services

We improve the services continually and may add, change or remove features, endpoints, protocols or networks. We will give reasonable notice before removing anything material you are paying for.

To use the services you must be at least 18 and able to form a binding contract. You agree to:

• Provide accurate account information and keep it current
• Keep your login details and API keys secret and secure
• Not share accounts or keys outside your organisation
• Tell us promptly at support@defiorbit.xyz if you suspect unauthorised use

You are responsible for activity under your account and keys, including credits used, until you tell us about unauthorised use. You can revoke and replace API keys at any time.

4.1Portfolio subscriptions

Individual and Professional plans are billed monthly or yearly, in advance, by card, and renew automatically until cancelled. You can cancel at any time in your account settings and keep access until the end of the period you have paid for.

4.2Free trial

Individual and Professional include a 7-day free trial. If you do not cancel before it ends, the plan you chose starts and is charged.

4.3API credits

API Platform and DeFi Orbit AI usage is paid with prepaid credits. Each endpoint or tool has a published credit cost, and each response shows what it used.

• Purchased credits do not expire while your account is active. If your account has no activity, meaning no API calls or purchases, for 12 months, remaining purchased credits may expire
• Credits we grant for free, such as promotional or trial credits, may have an end date, shown when they are added
• Credits used by a failed request are refunded to your balance
• Credits have no cash value and cannot be transferred

4.4Enterprise and Custom Data

Portfolio Enterprise, committed plans and Custom Data projects are priced in a proposal or order form and may be invoiced.

4.5Price changes, refunds and taxes

We may change prices with at least 30 days’ notice; changes apply from your next billing period or purchase. Fees are non-refundable except where these Terms, an order form or the law say otherwise. Prices exclude taxes, which you are responsible for. If a payment fails, we may suspend paid features until it is resolved.

5.1Your licence

While your account is in good standing, you may call the API and MCP server and use the data in your own products, internal systems, reports and AI applications, including showing it to your own users.

5.2Rate limits

Each key has a rate limit, 5 requests per second by default unless we agree otherwise. Do not try to get around rate limits, for example by spreading traffic across keys or accounts.

You may not:

• Resell, sublicense or redistribute the data as a standalone dataset or data feed, unless we have explicitly agreed to it in writing
• Use the services to build a product that competes with DeFi Orbit by reproducing our data
• Share API keys publicly or embed them where others can extract them
• Reverse engineer our API, calculations or infrastructure, or use the services to recreate them

5.3Attribution

Attribution is not required. A “Data by DeFi Orbit” credit is welcome.

5.4AI assistants

DeFi Orbit AI returns data to the assistant you connect. You are responsible for the assistant you choose, the actions it takes and how you use its output. Assistants can misread data, so check important figures before relying on them.

6.1Wallets you add

You may only add wallet addresses you own or control, or have permission to track. If you add wallets for clients, you are responsible for having the right to do so and for what you share with them.

6.2Share links

Share links and white-label reports can be opened by anyone who has the link. You decide what each link shows and can turn it off at any time.

6.3Your content

You keep ownership of the information you provide, such as customer names and notes. You give us the rights we need to host and process it to provide the services, as described in our Privacy Policy.

You agree not to:

• Use the services for anything unlawful, including sanctions evasion or money laundering
• Access or attempt to access systems, accounts or data you are not authorised to
• Scrape the website or app, or use automated access other than the API
• Reverse engineer, decompile or copy the services, except where the law allows
• Interfere with the services or other users, including by overloading our systems
• Misrepresent DeFi Orbit data or present it as your own audited figures

We may suspend access that breaks these rules or puts the services or other users at risk.

8.1Networks and protocols

The services read data from blockchain networks and DeFi protocols we do not control. We are not responsible for their operation, availability, security or losses arising from them.

8.2Swap

Swaps in the Portfolio app are routed through third-party providers and executed from your own wallet, which you sign yourself. We do not hold your funds at any point, and the provider’s terms apply to the swap.

8.3Other services

Payment processors, AI assistants and other services you connect are governed by their own terms.

DeFi Orbit provides data and analytics only. Nothing in the services is financial, investment, legal, tax or accounting advice, or a recommendation to buy, sell or hold any asset. You are responsible for your own decisions.

9.1Risks of DeFi

Using DeFi involves significant risks, including:

• Smart contract bugs and exploits
• Impermanent loss and liquidation
• Market volatility, including total loss
• Network outages and regulatory change

10.1Accuracy

We work to calculate figures correctly and document our methods, but on-chain data can be delayed, incomplete or affected by the networks and data providers we rely on. Check important figures independently before relying on them.

10.2Availability

We aim for reliable service but cannot promise it will be uninterrupted or error-free. We may pause the services for maintenance. Live status and incident history are published at status.defiorbit.xyz. Uptime commitments apply only where agreed in a signed order form.

10.3Support

Support is available to account holders. Response times depend on your plan, and priority support is included where your plan says so.

11.1Our property

DeFi Orbit, our logo and marks, the services, our software, calculations and documentation belong to DeFi Orbit Inc. and its licensors. Apart from the rights in these Terms, no rights are transferred to you.

11.2Your licence

We grant you a limited, non-exclusive, non-transferable licence to use the services for your personal or business purposes, in line with these Terms and your plan.

11.3Feedback

If you send us suggestions, we may use them without obligation to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

12.1Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

12.2Excluded damages

DEFI ORBIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA OR LOSS OF DIGITAL ASSETS.

12.3Maximum liability

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

You agree to indemnify and hold harmless DeFi Orbit Inc. and its officers, directors, employees and agents against claims, losses and costs, including reasonable legal fees, arising from:

• Your use of the services or data in breach of these Terms
• Wallets or client data you add without the right to do so
• Your violation of any law or the rights of a third party

14.1By you

You can close your account at any time in your account settings or by contacting us.

14.2By us

We may suspend or close your account if you materially breach these Terms, if required by law, or to protect the services or other users. Where reasonable, we will tell you first and give you a chance to fix the problem.

14.3Effect on credits and data

When your account closes, your access ends. Purchased credits are not refundable. While your account is open and active they remain available, subject to the 12-month inactivity rule in section 4.3. You can export your data before closing your account, and we handle it afterwards as our Privacy Policy describes.

15.1Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

15.2Arbitration

Disputes involving less than $10,000 will be resolved by binding arbitration administered by the American Arbitration Association.

15.3Courts

Other disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

16.1Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app. Continuing to use the services after changes take effect means you accept them.

16.2Entire agreement

These Terms, the Privacy Policy and any signed order form are the entire agreement between you and us about the services.

16.3Severability and waiver

If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.

16.4Assignment

You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition or sale of assets.

16.5Export and sanctions

You may not use the services if you are located in, or a resident of, a country or region subject to comprehensive US sanctions, or if you are on a US government restricted-party list. You agree to comply with applicable export and sanctions laws.

16.7Early-access features

Some features are offered as early access. They are provided as-is and may change or be withdrawn at any time.
